Gazprom’s Headquarters host a Board of Directors’ meeting.

The Board of Directors adopted a resolution to hold the Company’s annual General Shareholders’ Meeting (GSM) on June 25, 2004, in Moscow.

The list of persons entitled to take part in the GSM will be composed based on the Shareholders’ Register to be filed by the end of May 7, 2004.

The Board of Directors also approved candidate nominations for the Company’s Board of Directors and Revision Commission, to be voted for at the annual GSM.

The GSM agenda is as follows:

Approval of Annual Report, financial accounts and profit distribution; dividend payments; remuneration of the Board of Directors and Revision Commission members; approval of auditors; amendments to Gazprom’s Articles of Association; election of the Board of Directors and Revision Commission members.
