The Board of Directors approved the supplementary agreement between Gazprom and the Bank of New York Mellon to reduce the number of the Company's ordinary shares representing one American Depositary Receipt (ADR) from four to two.

The Board of Directors resolved to convene the annual General Shareholders Meeting of Gazprom on June 24, 2011 in Moscow.

The Company signed:

  • the Farm-out Agreement for Libya's Elephant oil project Production Sharing Agreement with Eni;
  • the Cooperation Agreement for 2011 with Saint Petersburg;
  • the Cooperation Agreement for 2011–2013 with the Khanty-Mansiysk Autonomous Okrug.

A Consortium between YUZHNIIGIPROGAZ and GASTEK BG was selected as the contractor to perform the feasibility study for South Stream construction in Bulgaria.

The second CBM-fired reciprocating-engine power station was commissioned in the Taldinskoye field, Kemerovo Oblast.

The Company completed construction of the Gryazovetskaya compressor station, a key facility of the Gryazovets gas transmission hub.

The Company signed:

  • Cooperation Agreement for 2011–2012 with the Vologda Oblast;
  • Cooperation Agreement with the Komi Republic;
  • Agreement on Gas Supply between Gazprom and LUKOIL;
  • Memorandum stipulating possible development of additional blocks in the Achimov deposits of the Urengoy field. Pursuant to the document, Gazprom will receive equivalent stakes in Wintershall's exploration and production projects in the North Sea;
  • Memorandum of Understanding between Gazprom and Wintershall providing for participation of Wintershall Holding in constructing the South Stream gas pipeline offshore section;
  • Agreement between Gazprom and Geoplin Plinovodi on setting up joint project company South Stream Slovenia to implement the South Stream project in Slovenia.

Top-priority facilities for gas supply to and gasification of the Sakhalin Oblast were put into operation.

Construction of Dalneye gas distribution station, an inter-settlement gas pipeline and a gas distribution point in the Sakhalin Oblast were finished.

Gazprom reported its consolidated financial results under International Financial Reporting Standards (IFRS) for 2010.

The Board of Directors:

  • adopted the Program for hydrocarbon resources development on the Russian Federation shelf until 2030;
  • resolved to reschedule the annual General Shareholders Meeting from June 24 to June 30, 2011 as well as to convene the extraordinary General Shareholders Meeting on June 30, 2011;
  • decided to open the Company's representative office in the State of Qatar.

The Management Committee approved:

  • the 2011–2015 Comprehensive Program for Reconstruction and Re-equipment of Gas Transmission and Underground Storage Facilities;
  • the 2011–2015 Comprehensive Overhaul Program for Linear Parts of Gazprom's Gas Trunklines;
  • the 2011–2015 Comprehensive Program for Reconstruction and Re-equipment of Gas and Liquid Hydrocarbons Processing Facilities.

The Company signed:

  • the Agreement with Japan Far East Gas Co. on the joint feasibility study for deployment of a gas liquefaction plant (LNG plant) and a gas chemical complex near Vladivostok;
  • the Agreement with KazMunaiGaz National Company identifying KazRosGaz as the Imashevskoye field operator and the Protocol on the issues surrounding execution of the Intergovernmental Agreement to explore the Imashevskoye field;
  • the Agreement of Cooperation with the Amur Oblast;
  • the Letter of Intent between Gazprom and DONG Energy to establish cooperation in gas-fired power generation.

Gazprom launched production of gas and gas condensate from the Valanginian deposits of the Zapolyarnoye field.

The PGU-450 combined cycle gas turbine unit at Yuzhnaya CHPP was commissioned in Saint Petersburg.

  • the Memorandum of Understanding to cooperate in the telecommunications sector between Gaztelecom and Comita;
  • the Memorandum of Understanding on the gasification development and on the oil and gas processing facility creation on the Sakhalin Island between Gazprom and the Sakhalin Oblast;
  • the final investment decision on the Katharina UGS facility construction in Germany between Gazprom and Verbundnetz Gas;
  • the detailed action plan to implement the South Stream project in Serbia between Gazprom and the state-owned Srbijagas.

Gazprom held the annual and extraordinary General Shareholders Meetings. The extraordinary Meeting elected the new Board of Directors. Viktor Zubkov was elected as Chairman of the Board of Directors.

The Management Committee approved:

  • the Gazprom Innovative Development Program until 2020;
  • the Gas Industry Mineral Resource Base Development Program until 2035.

Gazprom commissioned the following facilities:

  • Dzhubga – Lazarevskoye – Sochi gas pipeline;
  • state-of-the-art power unit at CHPP-26 in Moscow;
  • ejector unit at the Bernburg UGS facility in Germany.

Preparations for feeding gas into the Nord Stream gas pipeline were completed.

Russia and Belarus defined new terms and conditions for gas supply and transmission between 2012 and 2014. Gazprom increased its shareholding in Beltransgaz up to 100 per cent.

The Company signed:

  • the Gasification Accord between Gazprom and Republic of Karelia;
  • the Cooperation Agreement for 2012 between Gazprom and the Yamal-Nenets Autonomous Okrug;
  • the Cooperation Agreement for 2012 between Gazprom and Leningrad Oblast;
  • the Memorandum between Gazprom and Srbijagas, which commits the parties' intent to sign a long-term purchase and sale agreement for natural gas with annual gas supplies around 2 billion cubic meters;
  • the Addendum to the Contract between Gazprom and Beltransgaz on the volumes and terms of gas supplies to the Republic of Belarus and gas transit via its territory between 2007 and 2011.

The South Stream’s first facility – Banatski Dvor underground gas storage (UGS) in Serbia was putted into operation.

The Bednodemyanovskoye underground gas storage (UGS) facility construction started at the border between the Penza Oblast and the Republic of Mordovia.
